As a client of Dynode, you agree to:
Our IP: All content on our website, including text, graphics, logos, images, and software, is the property of Dynode or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Client IP: You retain all rights to your proprietary data and materials provided to us. By sharing such materials, you grant us a limited license to use them solely for delivering the agreed-upon Services.
Deliverables: Unless otherwise specified in a separate agreement, upon full payment, you will own the custom AI solutions, code, and deliverables we create specifically for your project. We retain the right to use general knowledge, techniques, and methodologies developed during our engagement.

We understand the sensitive nature of business information shared during AI projects. We agree to maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law. This obligation survives the termination of our engagement. Specific confidentiality terms may be detailed in separate Non-Disclosure Agreements (NDAs).
To the maximum extent permitted by law:
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI systems will be error-free, uninterrupted, or meet your specific requirements. AI technology involves inherent uncertainties and limitations that may affect performance.
You agree to indemnify, defend, and hold harmless Dynode, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of third parties.
Either party may terminate an engagement upon written notice as specified in the applicable service agreement. Upon termination, you remain responsible for any fees owed for Services rendered. We may immediately terminate or suspend access to our Services if we believe you have violated these Terms or engaged in illegal or harmful conduct.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our Services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Dynode regarding our Services and supersede all prior agreements and understandings.
