Agreement to these terms
By accessing or using the services provided by Dynode LLC (“Dynode”, “we”, “us” or “our”), including our website at dynode.ai, AI audits, software development, AI integration and automation, and any related services (together, the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Services.
Description of services
Dynode is an AI-first software studio. The Services include, but are not limited to:
- One-week AI audits
- Taking prototypes to production
- SaaS platforms and business applications
- AI integration and workflow automation
- Running, supporting and maintaining what we build
- Documentation and handover
The scope, timeline and price of each engagement are set out in a separate proposal or service agreement.
Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms for yourself or for the organization you represent. By using the Services, you confirm that you meet these requirements.
Your responsibilities
As a client of Dynode, you agree to:
- Give us accurate and complete information that we need to deliver the Services.
- Make sure you have all the rights and permissions needed to share data with us.
- Work with us and give timely feedback during an engagement.
- Comply with all applicable laws and regulations in your use of the systems we build.
- Not use the Services for any illegal, harmful or unethical purpose.
- Keep any login credentials or access we give you confidential.
Intellectual property
- Our website
- All content on our website, including text, graphics, logos, images and software, belongs to Dynode or our licensors and is protected by intellectual property laws. You may not reproduce, distribute or create derivative works from it without our express written permission.
- Your materials
- You keep all rights to the data and materials you give us. By sharing them, you grant us a limited license to use them only to deliver the agreed Services.
- Deliverables
- Unless a separate agreement says otherwise, once you have paid in full you own the code, systems and other deliverables we create specifically for your project. We keep the right to use the general knowledge, techniques and methods developed during the engagement.
Payment terms
Payment terms are set out in each service agreement or proposal. Unless that document says otherwise:
- Invoices are due within 30 days of receipt.
- A project deposit may be required before work starts.
- Late payments may incur interest at 1.5% per month.
- Fees are non-refundable unless agreed otherwise in writing.
Confidentiality
We understand that the business information you share with us is sensitive. We will keep your proprietary information confidential and will not disclose it to third parties without your consent, except where the law requires it. This obligation continues after the engagement ends. Specific confidentiality terms may be set out in a separate non-disclosure agreement (NDA).
Limitation of liability
To the maximum extent permitted by law:
- Dynode is not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Services.
- Our total liability for any claim arising from these Terms or the Services will not exceed the total fees you paid us in the 12 months before the claim.
- We do not guarantee specific business outcomes from AI systems, because results depend on many factors outside our control.
Disclaimer of warranties
The Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that AI systems will be error-free or uninterrupted, or that they will meet your specific requirements. AI technology has inherent uncertainties and limitations that can affect performance.
Indemnification
You agree to indemnify, defend and hold harmless Dynode and its officers, directors, employees and agents from any claims, damages, losses or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your breach of these Terms, or your violation of any third party’s rights.
Termination
Either party may end an engagement with written notice, as set out in the applicable service agreement. On termination, you remain responsible for fees owed for Services already delivered. We may immediately end or suspend access to the Services if we believe you have breached these Terms or engaged in illegal or harmful conduct.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Services will first be addressed through good-faith negotiation. If negotiation fails, the dispute will be resolved by binding arbitration seated in Delaware, under the rules of the American Arbitration Association, with hearings held by video conference where the rules allow.
Changes to these terms
We may change these Terms at any time. We will post material changes here with a new “Last updated” date. If you keep using the Services after a change, you accept the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, it will be limited or removed to the minimum extent necessary, and the rest of the Terms will remain in full force and effect.
Entire agreement
These Terms, together with any applicable service agreement and our privacy policy, are the entire agreement between you and Dynode LLC about the Services, and replace all prior agreements and understandings.
